1. Scope of Services

Memory den ("Provider") offers professional media services including, but not limited to, photography, videography, live streaming (on-site and remote), and live sound engineering ("Services"). Service details and deliverables are outlined in the respective client agreement or invoice.

2. Booking, Payment & Fees

2.1. A non-refundable booking fee of 25% is required to secure service date(s).
2.2. Full payment is due no later than 2 days before service delivery, unless otherwise stipulated.
2.3. Late payments may incur interest at 5% per week.
2.4. All quotes exclude VAT/taxes unless stated otherwise.

3. Cancellations & Refunds

3.1. Cancellations by the Client must be submitted in writing.
3.2. Cancellations made 10 days or more before the event incur forfeiture of the deposit.
3.3. Cancellations within 2 days may be charged up to 50% of the total booking value.
3.4. Provider may cancel due to force majeure or incapacity, issuing a full refund or rescheduling.

4. Client Obligations

4.1. Client shall provide accurate event details, adequate access, and necessary permissions.
4.2. For live streaming, Client must ensure sufficient bandwidth and power unless otherwise agreed.
4.3. Client assumes liability for any delays, obstructions, or venue-related restrictions.

5. Intellectual Property & Licensing

5.1. All content created remains the intellectual property of the Provider.
5.2. Client is granted a non-exclusive, non-transferable license for personal or business use as specified in writing.
5.3. Commercial use, resale, or redistribution requires prior written consent.
5.4. Credit to the Provider must be given in public or published media unless waived in writing.

6. Deliverables & Edits

6.1. Standard delivery timelines are 15-20 working days for photos and 20-25 working days for videos.
6.2. Revisions beyond scope will be billed at the prevailing hourly rate.
6.3. Raw footage and unprocessed files are not included unless otherwise specified.

7. Live Streaming & Audio Disclaimer

7.1. While Provider endeavors to ensure uninterrupted streaming and quality audio, performance is subject to third-party infrastructure and environmental factors.
7.2. Provider is not liable for disruptions due to network failure, venue restrictions, power outages, or platform outages.

8. Liability & Indemnity

8.1. Provider shall not be liable for indirect, incidental, or consequential damages.
8.2. Client agrees to indemnify and hold harmless the Provider from all claims arising from misuse, misrepresentation, or failure to disclose pertinent event details.
8.3. Maximum liability is limited to the amount paid under the Client's booking.

9. Model/Media Release

Unless expressly declined in writing, Client grants the Provider the right to use images, footage, and audio from the assignment for portfolio, marketing, and promotional use.

10. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of [Insert Jurisdiction]. Disputes shall be subject to the exclusive jurisdiction of the courts in [Insert Location].

11. Modifications

Provider reserves the right to amend these Terms at any time without prior notice. Updated Terms will be posted on [website/link], and continued use of Services constitutes acceptance.
